Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of SellSignal (“the Service”), operated by Rise Up Labs LLC (“we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to use SellSignal. By using the Service, you represent that you meet this requirement. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use at support@sellsignal.app.

You agree to provide accurate, current, and complete information when creating your account. We reserve the right to suspend or terminate accounts that contain false information.

5. Subscription and Billing

Free tier: SellSignal offers a free tier with limited usage (3 analyses per day) at no cost. No credit card is required.

Pro tier: The Pro subscription is available on a monthly ($29/month) or annual ($199/year) basis. Prices are in USD and exclusive of any applicable taxes.

Billing and renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. Payment is processed by Stripe.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, your Pro access continues until the end of the current paid period. We do not provide refunds for partial billing periods.

Price changes: We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price change takes effect for existing subscribers.

6. Acceptable Use

You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Resell, sublicense, or commercially exploit the Service or its outputs without written permission
• Attempt to reverse engineer, decompile, or extract the Service's proprietary algorithms
• Use automated tools to access the Service beyond normal API use
• Share your account credentials with others or create multiple accounts to circumvent usage limits
• Attempt to interfere with or disrupt the Service or its underlying infrastructure
• Use the Service to manipulate markets or spread false information about cryptocurrencies

7. Intellectual Property

The SellSignal platform, including its design, code, prompts, and branding, is owned by Rise Up Labs LLC and protected by applicable intellectual property laws.

The analysis outputs generated for you belong to you for your personal use. You may not republish or commercially distribute analysis outputs without written permission.

8. Limitation of Liability

To the fullest extent permitted by law, Rise Up Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or financial losses arising from your use of or inability to use the Service or its analysis outputs.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to Rise Up Labs LLC in the twelve (12) months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that analyses will be accurate or complete.

10. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or for any other reason with reasonable notice. You may terminate your account at any time through your account settings.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including but not limited to the financial disclaimer in Section 3, limitation of liability in Section 8, and governing law in Section 12) shall survive.

11. Changes to Terms

We may modify these Terms at any time. When we make material changes, we will notify you by email and update the effective date above. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Texas and the United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.
